User Terms and Conditions

Welcome to the Faheem educational platform

These terms and conditions govern all services of the Faheem website and app provided by the Faheem company. Accordingly, any use by you of the services provided by the Faheem educational platform constitutes your acceptance of these terms and conditions, and where certain services carry additional terms and conditions, those become binding immediately and by extension. Faheem's services are not intended for children under 11 years of age, and minors (those under the legal age) must consult their parents or legal guardians before accessing the platform.

About Faheem

Faheem is an interactive online educational platform that aims to meet students' educational needs anywhere and at any time they choose. It does so by connecting them with tutors who have comprehensive knowledge of the curricula, are fully prepared to explain them and answer related questions, and can be contacted directly as the platform allows.

Definitions

Definitions of certain terms that may appear in these terms and conditions, unless the context of the provisions requires otherwise:

“Faheem educational platform”:

means the Faheem website and the Faheem app that the Faheem company owns, controls, manages, maintains, hosts, licenses, or has designed to run on smartphones, tablets, or other devices on which the company provides the service.

“Customer”:

the student or the person seeking the service who has registered with the Faheem educational platform in order to use the app, the service, or both.

“Service provider”:

the tutor who works in teaching and has the experience, ability, and resources needed to provide one-on-one tutoring services, and who wishes to offer their services through the app owned by the “Faheem” company.

“Third party”:

any media, commercial, or advertising intermediary, or any company or governmental or private entity connected to the Faheem educational platform by contracts to supply or obtain services, run advertising or promotional activities, or anything that contributes to the services of the Faheem educational platform as defined earlier in this clause.

“User”:

a term covering both the customer and the service provider, or any person permitted to use the platform.

“Data”:

means all data related to the use of the app or the service, or data related to the customer.

“Intellectual property right”:

means any patent, copyright, innovation right, database right, design right, registered design, trademark, trade name, brand, logo image, advertising slogan, trade know-how, business name, or domain name (with any extension), or any other right or obligation, whether registered or unregistered, or any other industrial or intellectual property right in any territory or jurisdiction anywhere in the world.

Eligibility for the services

You represent and warrant the following:

1. That your use of Faheem's services has never been suspended and you have never been barred from using them at any time.
2. That you are not a competitor of Faheem, and that you do not offer any product that competes with the services Faheem provides.
3. That you have full power and authority to enter into this contract, and that in doing so you will not be in breach of any law or contract.

Representations and warranties

You represent and warrant that you will:

1. Comply with all laws and regulations in force in the Kingdom of Saudi Arabia.
2. Abide by all local laws and regulations, including those relating to operating the services, and that you alone are responsible for any violations of those local laws and regulations.
3. Hold, comply with, and continue to hold and comply with all permits, licenses, and other governmental authorizations necessary to perform the service and to continue and maintain your efforts, operations, and business.
4. Provide true and accurate information to Faheem and update it regularly.
5. Review and comply with any notices sent through Faheem regarding your use of the services provided by the Faheem platform.
6. Not sublicense, issue, publish, transmit, distribute, perform, display, sell, or rebrand Faheem's services; otherwise you will have transferred the service or exploited it commercially, except as permitted under this contract.
7. Use the service or the platform for lawful purposes only, and not use the services to send or store any unlawful material or for fraudulent purposes.
8. Not use the service or the platform to cause harm, harassment, or nuisance to anyone.
9. Not obstruct the proper operation of the Faheem platform.
10. Not copy or distribute the platform or other content without written permission from Faheem.
11. Keep any means of identification we provide you that grants access to your account safe and confidential.
12. Provide us with all evidence proving your identity at Faheem's sole discretion.
13. Faheem is entitled to refuse to provide the service or use of the platform without giving reasons.

You undertake to refrain from conduct that includes the following:

1. Initiating discussions or using unacceptable language that contains or incites violence, verbal or non-verbal abuse, stirs up hostility toward a religion, race, gender, or physical or mental disability, or encourages unlawful conduct or criminal practices, including but not limited to (drugs, weapons and explosives, viruses, and piracy).
2. Exchanging phone numbers, personal email addresses, or personal social media accounts, or arranging in-person meetings between the service provider and the customer. Faheem bears no legal responsibility if you are subjected to harassment or danger resulting from your sharing of any personal information.
3. Deliberately using a username or profile picture on your platform account that violates public decency or impersonates public figures or celebrities.
4. Attempting to abuse or cause direct or indirect harm to the Faheem educational platform or its services, or to disparage its staff or users by any means, including without limitation (posting offensive content on any social media outlet).
5. Encouraging or inciting practices or conduct involving any of the above.

Faheem determines, at its sole discretion, whether any breach or non-compliance with these representations and warranties has occurred in your use of its services. If it has, Faheem will take whatever action it deems appropriate.

Scope of license

Faheem grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and irrevocable license to access and use our services solely for the specific personal purpose set out in this contract. You must therefore:

1. Not make the services available to, or rent, lease, assign, resell, distribute, or sublicense these services to, any third party.
2. Not modify, excerpt, translate, summarize, or create derivative works based on decompiling or reverse-engineering Faheem's design, or otherwise determine, attempt to determine, or attempt to access the source code or internal design of the services, or any text, multimedia images (images, audio, video files), data, or other information provided by Faheem or by third-party service providers.
3. Not delete, alter, or otherwise modify any copyright or other official notices contained in the services.
4. Not purport to grant the services, or permit access to them, to anyone other than yourself.
5. Not permit the sharing of the username and/or password or other credentials for accessing the services of the Faheem educational platform.

Intellectual property rights

All intellectual property rights in these services and in all materials relating to or appearing on them (including any content you submit or post) are the property of Faheem. You must not reproduce, or permit any person for any reason to use or reproduce, the services or any trademarks or other trade names appearing in the services.

Commercial dealings policy

By using the website or the app you understand and agree to the commercial dealings policy for students and tutors

General provisions:

1. The prices tutors charge for providing the service can be found on the platform. Faheem may amend or update them from time to time. It is your responsibility to stay informed of the current prices of the services offered, and you alone are responsible for paying all fees on time. You acknowledge that any amount paid is non-refundable.
2. By agreeing to these user terms, you agree that your right to access the data stored on the Faheem platform is tied to your account being active, and that failure to pay amounts due from you results in your use of the platform and the data stored on it being blocked.
3. Faheem reserves the right to create, cancel, and/or revise the fees and prices of the services it provides through the platform. All fees are due with immediate effect. Furthermore, you acknowledge and accept that applicable fees or prices may be increased or decreased, and Faheem will make reasonable efforts to notify you of fees or price changes that may apply to you, provided that you bear responsibility for differences incurred on your account regardless of your awareness of them.
4. Faheem may from time to time provide some customers using the platform with promotional offers and discounts, which may result in different amounts being paid for the same or similar services or goods while using the platform, and the service provider for their part agrees to honor these offers and discounts.
5. The tutor acknowledges and agrees that their provision of the services available through the platform to students will be in exchange for fees charged to students. Faheem will receive a set percentage of these fees in return for the service provider's use of the platform and provision of the service to the students using it. All fees deducted for Faheem's account are final and non-refundable, unless Faheem specifies otherwise.
6. It is advisable to obtain and keep a copy of the service-fee payment receipt for documentation and record-keeping purposes, which may help resolve any disputes that arise over financial matters.
7. Choosing the tutor is the student's responsibility, and Faheem is committed to selecting the best tutors to provide the service.
8. Preserving the privacy of both parties and not disclosing any confidential information.
9. If the student wants to request another subject or increase the number of hours with the same tutor, the tutor must complete the request through the website. If Faheem learns of non-cooperation in this regard, it is entitled to suspend the tutor.

The tutor:

1. Shall act with honesty and integrity in providing the service.
2. Shall not help the student cheat or do their homework and projects for them.
3. Faheem is entitled to stop the tutor from continuing with the student if the tutor fails to keep to the time agreed with the student.
4. Faheem is entitled to change the tutor assigned to a student whenever the student wishes to change tutors or withdraw.
5. This agreement, and your use of the website or the app, does not create any joint venture, partnership, employment, or agency relationship between you and Faheem or any third party. If any provision of the agreement is found to be void or unenforceable, it will be severed and the remaining provisions will remain in full force to the maximum extent permitted by law.
6. If Faheem fails to enforce any right or provision of this agreement, this shall not constitute a waiver of that right or provision unless Faheem acknowledges and agrees to it in writing. This agreement constitutes the entire agreement between you and Faheem and supersedes any prior or existing negotiations, discussions, or agreements, whether written or oral, that the parties concerned may have had on its subject matter.
7. You accept, agree, and acknowledge that a direct legal relationship is created solely between you and the customer, and you assume responsibility for it.
8. Faheem bears no responsibility for any act, omission, or conduct of the customer toward the service provider. The service provider alone is responsible for taking reasonable and appropriate measures regarding third parties they deal with in connection with providing the services, without breaching Faheem's terms and conditions.

The student:

1. The price agreed with the tutor is per hour.
2. The tutor is entitled to decline to continue teaching if the student fails to keep to the time agreed with the tutor.
3. Faheem is entitled to stop the student from continuing with the tutor whenever the student fails to pay part or all of the amount, as it deems appropriate.

Indemnification

By agreeing to these user terms and using the platform or the service, you agree to defend Faheem, its affiliates, its licensors, and each of their officers, directors, other users, employees, attorneys, and agents, to hold them harmless, and to release them from any claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) arising out of or related to the following:

1. Your violation or breach of any provision of these user terms or of any applicable law or regulation, whether or not referenced in these terms and conditions of use.
2. Your violation of any rights of third parties, including the service providers arranged through the platform.
3. Your use or misuse of the platform or the service.

The information, recommendations, and services, or any of them, provided to you on or through the service and the platform are for general information purposes only and do not constitute advice.

Faheem will, as far as possible, keep the website, the platform, and their contents accurate and up to date, but it does not guarantee that the (contents of the) website or platform are free of errors, defects, malware, and viruses, nor does it guarantee the accuracy, correctness, and currency of the website and the app, and we cannot undertake that your use of the website will be free of technical errors or errors in content.

In the event of a complaint, dispute, or disagreement between the service provider and the customer, or in other appropriate cases where there is a reasonable ground for such disclosure, the Faheem educational platform may — without being required to, and to the extent permitted by applicable laws and regulations — provide the customer, the service provider, and/or the relevant authorities with the relevant data (including personal data) of the service provider or the customer.

Beyond legal or regulatory requirements, Faheem assumes no responsibility, and disclaims responsibility under this agreement, for the content and consequences of (publishing or distributing) any comments, ratings, or reviews whatsoever.

Faheem bears no responsibility for any contributions by users on the platform or its services in the form of text comments, uploads of any media, external links, or communication between users by any means. The user acknowledges that they may expose themselves to legal liability if such contributions contain anything that violates public rules and decency.

Faheem bears no responsibility for any damages resulting from the use of (or inability to use) the website or the platform, including damage caused by malware or viruses, nor for the inaccuracy or incompleteness of the information, the website, or the platform.

Faheem bears no responsibility for any damages resulting from the use of (or inability to use) electronic means of communication with the website or the platform, including — but not limited to — damages resulting from the non-delivery or delayed delivery of electronic communications, their interception, or their manipulation by third parties or by the computer programs used for electronic communications and the transmission of viruses.

Faheem strives as far as possible to make the platform's online services available year-round, 24 hours a day, 7 days a week. In all cases, it does not guarantee that the Faheem platform will operate fully throughout the year; there will be downtime for maintenance, periodic updates, or the addition of new features to the platform, and Faheem bears no responsibility for the unavailability of the services at any time, for any duration, or for any reason.

Responsibility for the quality of the services requested through the platform or the service rests entirely with the service provider who ultimately delivers them to the customer. Under no circumstances does Faheem accept any responsibility relating to or arising from the services provided by the service provider, nor does it accept responsibility for any acts, conduct, behavior, or negligence, or all of the foregoing, on the part of service providers. Limits of liability

Faheem makes no express or implied warranties relating to the services, all of which are provided “as is.” Faheem expressly disclaims, to the maximum extent permitted by law, all warranties, including but not limited to warranties of fitness for a particular purpose, fitness for particular specifications and markets, and merchantability of proprietary rights. Nor does Faheem guarantee the accuracy, content, or timeliness of the services or the results that a user of the services may or may not obtain. In no event shall Faheem or its agents, licensors, or affiliates be liable for direct or indirect damages, penalties, special damages, or incidental or consequential damages (including but not limited to damages resulting from loss of profits, business interruption, loss of business information, or other financial losses) arising directly or indirectly from accessing and using the services (or failing to use them) or relying on them.

Faheem reserves the right to view and record all correspondence and online sessions taking place on the platform without permission or notice, as Faheem monitors usage to understand users' requirements and improve the services the platform provides.

All recorded correspondence and teaching sessions are subject to review, and legal action may be taken in the event of any breach of public decency, misuse of content, or violation of the terms and conditions.

Faheem shall not be liable and bears no legal responsibility for any kind of damage or loss (including direct, indirect, consequential, punitive, or special losses), or claims, demands, or expenses (including legal fees), or damages, penalties, or fines (including those of third parties) relating directly or indirectly to the service provider agreement, including:

1. Any damages or risks associated with performing the service provider agreement.
2. Any act or omission on the part of the customer (including payment).
3. The content and consequences of (publishing or distributing) any comments, ratings, or reviews concerning the service provider.
4. Termination of the service provider agreement for any reason.

Faheem bears no responsibility, and the user has no right to demand that it honor, any promotional offers or competitions that were not announced on the Faheem platform or on the social media accounts it manages.

Security

You acknowledge that you are solely responsible for the confidentiality of the services, and you are solely responsible for their use by any other person using your account and/or username, password, or access credentials. You also agree to notify Faheem if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or other means of accessing the services.

Dealings with third parties

While using the website, the platform, and the service, links may from time to time be provided to websites owned and controlled by third parties in order to correspond with them, purchase products or services from them, or participate in promotions they offer. These links take you outside the website, the platform, and the service, and are beyond Faheem's control.

While using the website, the platform, and the service, you may correspond with, purchase goods or services from, or participate in promotions of service providers, advertisers, or sponsors offering their goods or services via a link on the website or through the platform or the service. These links take you outside the website, the platform, and the service, and are beyond Faheem's control. The websites you can link to have their own independent terms and conditions as well as their own privacy policies. Faheem bears no responsibility for, and cannot be held accountable for, the content and activities of those websites. You therefore bear all risks arising from visiting or accessing those websites.

Please note that those other websites may send their own cookies to users, collect their data, or request personal information. We therefore recommend checking the terms of use or privacy policies on those websites before using them.

Changes to the services

Faheem reserves the right, at its sole discretion, to do the following at any time:

1. Modify or change the platform, the services, or any related materials, or suspend or discontinue them (including but not limited to the availability of any feature, database, or content) at any time without prior notice.
2. If Faheem decides to stop publishing its services, it may at its discretion replace the services with other similar materials.
3. Faheem may impose limits on certain features and services or restrict your access to parts of the service or the entire service without notice or liability.

The relationship between Faheem and the user

The relationship between Faheem and the user is of indefinite duration. The user is entitled to discontinue their use of the platform and the service at any time by permanently deleting the platform's app installed on their device. You may close your user account at any time.

Faheem is likewise entitled to end its dealings with the user with immediate effect at any time (by disabling their use of the platform and the service) if the user does any of the following:

1. Violates or breaches any provision of the user terms and conditions.
2. If Faheem considers that you are misusing the platform or the service. Faheem is not obliged to give prior notice of terminating the relationship.

Termination of the relationship shall not affect the settlement of any claims or financial or other obligations between Faheem and the user.

Amending the terms and conditions

Faheem reserves the right to amend or change these terms and conditions without prior notice, and it is your responsibility as a user of the platform to review these terms and conditions regularly on this page to stay aware of any updates. Your access to the website or the app after any changes are made constitutes your acceptance of the amended terms and conditions and all changes contained in them. We also encourage you to review our privacy policy to learn more about how Faheem uses the information provided to us by the platform's users.

Invalidity of one or more provisions

1. The invalidity of any provision of these user terms shall not affect the validity of the remaining provisions contained in them.
2. If any provision of these user terms is invalid, or unacceptable in particular circumstances according to standards of reasonableness and fairness, and only to that extent, a provision that is acceptable in view of all the circumstances and that corresponds as closely as possible to the invalid provision shall apply between the parties in its place, taking into account the content and purpose of these user terms.

Governing law and dispute resolution

These user terms, and the settlement of any dispute, claim, or disagreement arising out of or relating to them, or any breach, termination, performance, interpretation, or validity of them, or the use of the website, the service, or the platform, are governed by and construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia.
